Project KOWALSKI - A Market-Proven, Manufacturer-Independent Car Dealership

A market-proven, manufacturer-independent car dealership with stable profitability, a good micro-location, and excellent macro-connectivity. Full-service car dealership with 30 years of market presence: Established over 30 years ago, the dealership is positioned as a multi-brand automotive specialist with a focus on Opel. Its broad range of services includes new and used cars, an in-house master auto repair shop, a tire business, financing, vehicle rentals, and vehicle reconditioning. Strong base of regular and frequent customers: Approximately 60% of customers are regulars (up to the 7th year of ownership), and 700 tire storage contracts—each requiring two mandatory service visits per year—ensure predictable, recurring business volume independent of the new-car business. Countercyclical used-car purchasing as a differentiator: The company utilizes established sourcing channels—including international ones when necessary—to purchase vehicles countercyclically and with high margins. Vehicle financing is funded entirely from the company’s own cash flow—no bank debt. Future-proof infrastructure and electric mobility: Four employees with electric vehicle certification, 110 kW of charging capacity from the grid, and a 110 kW photovoltaic system position the company as a partner well-prepared for the transition to electric mobility. Flexible transition phase facilitated by the seller: The seller and managing partner is interested in a medium- to long-term transition phase—and would be happy to serve as managing director if desired.

Owner-operated bicycle shop with repair shop seeks a successor

This owner-operated bicycle shop, which has been in business for over 80 years and features an on-site repair shop, is set to be handed over to new, enthusiastic owners in the near future. The business is located in the heart of Schleswig-Holstein, and its customers come from the town and the surrounding area—many are willing to travel up to 100 km to take advantage of the shop’s service and expert advice. The bicycle dealer works with all major leasing companies and is a member of the trade association. The business is owner-occupied and can be leased or rented. Of course, purchasing the property is also an option, but not a requirement. The repair shop is staffed by four full-time employees and one part-time worker. All repair shop staff assist in sales as needed. In addition, there are two other full-time employees in sales. The average age of all employees is approximately 40 years. The sale of bicycles and accessories accounts for the largest share of total revenue; 45% of revenue comes from e-bike sales through leasing. Further potential exists in the leasing sector and through expanding the product range, such as cargo bikes. The online presence can also be developed, and social media can be integrated. An accompanying buyout is possible. There is also the option to join an excellent, established concept as a franchisee. A non-disclosure agreement is required for an initial consultation.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
