Selling a limited liability company (UG) with a real estate brokerage license pursuant to § 34c

Would you like to start working as a real estate agent right away? Would you like to start your own real estate company with as little as 1 euro in share capital, begin working as a real estate agent from home, and build your business step by step? Have you had trouble obtaining a real estate agent’s license under Section 34c of the German Trade Regulation Act (GewO)? By purchasing and taking over the UG, you no longer need to apply for a real estate agent’s license. The advantage: - You no longer have to pay anything to obtain the real estate broker’s license, and if previous applications for the license have been rejected, or if it is foreseeable that the requirements for granting the license cannot be met for whatever reason, acquiring the UG would be the solution—allowing you, through the acquisition of the UG, and then, immediately after the acquisition, to be able to focus on real estate brokerage services. Both founders are willing to stay through a transition. Narrowing losses: the EBITDA loss fell from €798K in 2023 to €398K in 2024 and €220K in 2025, and was €88K in the first half of 2026. Management's plan reaches monthly EBITDA breakeven in November 2026 through cost reductions, without assuming revenue growth. The company is not yet profitable, and buyers who require positive EBITDA at acquisition should take that into account. Transaction: a full sale is the preferred path. The shareholders are also open to a majority transaction with the right strategic partner. There is no fixed asking price; qualified buyers are invited to submit an offer after reviewing the data room under NDA.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
