International Production Carve-out for Serial Off-Site Wood Construction

An internationally oriented production carve-out in serial off-site wood construction—positioned for independent further development—is for sale. The company develops and manufactures high-quality modular room units, hospitality cabins, mobile accommodations, and sauna solutions for commercial customers in several European markets. The transaction includes 100% of a Swiss GmbH with an Austrian production and sales company, as well as a scalable manufacturing facility in western Romania. The strategically located production site combines a competitive cost structure and access to skilled workers with short logistics routes to the DACH region and other European markets. Once the ramp-up is complete, the facility will have a capacity of up to 50 units per year even operating on a single-shift basis. The average net selling price ranges between EUR 60,000 and EUR 65,000 per unit. Additional shifts offer further potential for scaling up. Key investment highlights include a tangible asset base of more than EUR 1.0 million, approximately EUR 2.0 million in cumulative investments in product development and industrialization, a product platform validated on the European market, and established supplier and production structures. Planned orders from the seller’s corporate group can contribute to initial baseline capacity utilization. The founder offers a structured handover and support for up to four years. Subject to appropriate creditworthiness and adequate collateral, partial seller financing is also possible in principle. The sale is taking place due to the previous ownership group’s strategic focus on establishing and operating its own hospitality and wellness locations.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
