Established building services specialist (ventilation/HVAC/refrigeration); managing director in place

For sale is a company based in eastern Germany that has been a recognized specialist in the design, installation, and maintenance of ventilation, air conditioning, and refrigeration systems for over 25 years—a technically strong, crisis-resilient company operating in a structurally growing market. The company carries out sophisticated projects for public and commercial clients, including in schools, hospitals, swimming pools, and laboratories. The combination of in-house engineering and design expertise (including BIM), a high degree of in-house execution, and proven VOB expertise creates a rare barrier to market entry and ensures a stable order book. Particularly attractive for buyers: An independent service division with maintenance contracts generates recurring, predictable revenue and complements the high-margin project business. With total revenue most recently at around EUR 5.3–5.5 million, the company achieves an adjusted EBIT margin of 10%. Clear growth drivers include expanding the industrial and commercial customer business, scaling up the service business, and regional expansion. For strategic buyers, there are immediate synergies through sales and customer access. The reason for the sale is a planned succession due to retirement: The technical managing partner will remain available in the long term, and a robust second tier of management has been established—ideal conditions for a takeover with a high degree of continuity.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
