Project KOWALSKI - A Market-Proven, Manufacturer-Independent Car Dealership

A market-proven, manufacturer-independent car dealership with stable profitability, a good micro-location, and excellent macro-connectivity. Full-service car dealership with 30 years of market presence: Established over 30 years ago, the dealership is positioned as a multi-brand automotive specialist with a focus on Opel. Its broad range of services includes new and used cars, an in-house master auto repair shop, a tire business, financing, vehicle rentals, and vehicle reconditioning. Strong base of regular and frequent customers: Approximately 60% of customers are regulars (up to the 7th year of ownership), and 700 tire storage contracts—each requiring two mandatory service visits per year—ensure predictable, recurring business volume independent of the new-car business. Countercyclical used-car purchasing as a differentiator: The company utilizes established sourcing channels—including international ones when necessary—to purchase vehicles countercyclically and with high margins. Vehicle financing is funded entirely from the company’s own cash flow—no bank debt. Future-proof infrastructure and electric mobility: Four employees with electric vehicle certification, 110 kW of charging capacity from the grid, and a 110 kW photovoltaic system position the company as a partner well-prepared for the transition to electric mobility. Flexible transition phase facilitated by the seller: The seller and managing partner is interested in a medium- to long-term transition phase—and would be happy to serve as managing director if desired.

Energy Innovations - Heating Efficiency Analysis

Dear Successor, Dear Successor Reduce heating costs by up to 25% with the world’s fastest heating efficiency analysis using the Meter, the innovative “fever thermometer” for any heating system, and the Thermal-Hydraulic Optimization, a method for manual, temperature-based hydraulic balancing (Method T). 21 million heating systems in Germany and many more worldwide are waiting for the IoT-based Meter, which uses non-invasive temperature measurements to indicate the efficiency of each heating system via a traffic-light system. The cloud-based service calculates and sends alerts, while the portal displays the measurement data and forms the basis for a comprehensive database of heating operation data. Heating cost savings of up to 25% and a corresponding reduction in emissions have been evaluated in field measurements and confirmed in series operation. The meter is equally suitable for industrial, residential, and office buildings of any size and any type of heat generator (oil, gas, heat pumps, pellets, CHP, district heating, etc.). Target groups include business customers such as installers, energy consultants, chimney sweeps, metering service providers, property managers, and the real estate industry (industrial, residential, administrative, and office properties), as well as private customers. Series production has begun, and the first customers are already using the product.

Provider of concise study guides for high school and college entrance exam preparation in 12 subjects

The company up for sale offers learning materials designed to provide concise and targeted support during high school and for Abitur preparation. At the core of its offerings are study guides that summarize the entire Abitur curriculum in an easy-to-understand format across approximately 80 pages. The company was founded in 2016 by two medical students and an economist while they were still in school. They started with a study guide for biology and approximately 60 students under their guidance, and have continuously expanded their offerings to include 12 subjects and serve 5,000 students annually. The study materials were developed in collaboration with teachers, and a network of partner schools in Hesse was established. These schools purchase the company’s materials annually and use them in their classrooms. A brand known throughout the region has been established, reaching large numbers of students each year with minimal marketing effort. In addition to the partner schools, distribution channels include bookstores—notably Thalia—and the company’s own online store. Significant annual growth was achieved through the completion of the study in 2023. Since the founders began working full-time as business professionals, the figures have been maintained at a steady level thanks to consistent automation and efficient processes. The products have been continuously adapted to the new high school graduation requirements and are updated through 2028.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
