German snack brand specializing in flavored sunflower seeds with multichannel distribution

The GmbH is a growth-oriented German brand company in the dynamic snack food market. The company develops and markets innovative, flavored sunflower seeds and positions an internationally established snack product within a modern, eye-catching brand universe. The scalable business model combines direct sales through its own online store with B2B business and brick-and-mortar retail. The products are already available in kiosks, snack vending machines, and numerous REWE stores. This provides an attractive foundation for the further expansion of the company’s national retail presence. The transaction also includes the sales and start-up model developed to approach and tap into EDEKA stores. Also included are the established contacts and qualified leads with EDEKA store owners and stores, to the extent that their transfer is permitted under applicable law and data protection regulations. For a buyer, this opens up the opportunity to immediately continue existing sales approaches and significantly accelerate market penetration. Further growth potential lies in acquiring additional retail and wholesale partners, introducing new flavors and packaging formats, expanding the online business, and pursuing internationalization in the future. Economies of scale in purchasing, production, packaging, and logistics offer additional potential for improving profitability. The sale is being conducted solely due to the managing director’s planned emigration and not because of a lack of growth prospects for the company. We are seeking a strategic buyer or investor who will take over the existing brand, product portfolio, and established sales structures and consistently realize the existing growth potential.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
