B2B specialty distributor of technical and sustainable plastics

An established, profitable, mid-sized company specializing in B2B distribution of engineering plastics and polymer-based material solutions is for sale. For many years, the company has been supplying compounders, extruders, and industrial OEMs across various industries and application segments, and has built long-standing relationships with customers and suppliers. It is explicitly not a pure commodity trader, but rather a technically oriented specialty distributor with extensive expertise in applications and materials. Customers benefit in particular from consulting services regarding material selection, specifications, and applications, as well as from long-standing international procurement relationships. The business model is based on direct access to manufacturers in Asia, strong procurement expertise, and application-specific technical consulting. Value creation encompasses material selection, international sourcing, logistics, customs clearance, and warehousing as needed. The company is operationally stable, generates positive EBITDA, and has a very solid balance sheet, capital, and liquidity structure. As part of an orderly business succession, a 100% sale is being pursued. The very well-maintained, investment-free commercial property can optionally be sold along with the business or leased on a long-term basis.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
