Scalable news and media intelligence platform with 700,000 indexed articles

The company is an independently developed news and media intelligence platform—already in productive operation—designed for the automated collection, structuring, and thematic grouping of news content. The platform currently processes content from 256 sources and already has more than 700,000 processed or indexed articles, as well as nearly 500,000 thematically grouped story clusters. The underlying data pipeline is continuously updated. The core technology comprises the proprietary software and data architecture, automated processing pipelines, a web platform, technical infrastructure, and an Android/TWA app. The platform is of particular interest to strategic acquirers in the fields of media, media intelligence, PR/communications analysis, data analysis, and monitoring, as well as to technology companies that wish to use an existing news data infrastructure as the foundation for their own products. The project is currently in the pre-revenue phase. This provides an acquirer with the opportunity to integrate the existing technical foundation with its own sales, data, and monetization structures. A full acquisition could include, in particular, the source code, domain, and brand, as well as the technical infrastructure and the respective transferable data, analytics, and intelligence components. A structured technical handover by the founder is possible

Two real estate portfolios: senior living facilities and office space; target price: €38 million (market value according to the appraisal: €47.3 million)

The company presents itself as an excellent investment opportunity with a specialized real estate portfolio consisting of two main segments. First, the company offers senior living residences under long-term leases, managed by profitable and self-sufficient operating companies. Second, the portfolio includes attractive office spaces in locations with stable market conditions. The business model is characterized by sustainable revenue streams and low vacancy risks, while the option to acquire the entire portfolio or parts of it offers flexibility in terms of investment strategies. One of the office properties is currently being converted into residential space by the seller, which opens up further potential for value appreciation. Purchase Price Overview The seller is seeking a purchase price of €38,000,000 for the entire package. This asking price is below the combined market values of the two portfolios (€47,316,820) and reflects the goal of a swift transaction in line with market conditions. A partial sale of the two portfolios and individual properties may be negotiable under certain circumstances. The total value according to the real estate appraisal is: €47,316,820 – Portfolio 1 (Senior Living Facilities): €29,886,820 – Portfolio 2 (Office Space): €17,430,000 Transaction Structure – Asset Deal The transaction is planned as an asset deal. This enables a clear allocation of assets as well as tax and legal transparency for buyers. Property Documentation A detailed sales prospectus containing all essential information and key figures has been prepared by the seller’s advisor, Con|cess M+A-Partner Berlin. In addition, current, audited appraisals for all properties, prepared by a publicly appointed and sworn appraiser, are available and will be provided upon review of the detailed prospectus if further interest is expressed.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
