Established e-commerce company specializing in sustainable premium gift and paper products (D2C/B2B)

The e-commerce company, which has been in operation since 2017, has an established premium brand and has historically generated approximately 2 million euros in revenue. With more than 600,000 units sold, a diversified multichannel distribution structure, and partner networks that have grown over many years, the company has a broad operational footprint. All key business processes, delivery and production structures, as well as warehousing and shipping procedures, are well-established and enable the immediate continuation of business operations. The lean, scalable organizational structure also provides a solid foundation for the company’s further development. All processes have been optimized to the point where the business currently operates with a total of just 15 working hours per week. It is therefore ideally suited as a source of passive income, but can of course also be expanded (again) into a 40-hour full-time position. Financial Performance: In 2020, revenue totaled approximately €320,000, and in 2021, approximately €380,000. These figures can be built upon again by resuming various initiatives—such as marketing or trade show activities—that were deliberately scaled back for personal reasons (upcoming retirement, caring for a family member). Regarding profit/net income: Individual cost items should be reviewed as part of a valuation to determine which of them would be incurred in the same form by a buyer, reduced, or even eliminated (personnel costs, personal health insurance costs of approximately 1,000 euros per month, company car leasing, accounting/tax costs, storage costs, fulfillment, etc.). The profit shown in the bar charts must therefore be urgently adjusted to account for these individual items!

Profitable software company with a scalable technology platform

A fast-growing, owner-managed software company is for sale. It is headquartered in a major city in western Germany, has its own international development site in Bulgaria, and maintains a network of developers in Poland, North Macedonia, and India. Following a preliminary analysis of typically complex processes, custom software is developed using state-of-the-art software tools. Clients include small and medium-sized businesses, large corporations, and public sector clients. The company is ISO 9001 certified. The core of the business model consists of: Development of custom niche solutions. Interface programming between complex systems (e.g., ERP, CRM) and third-party systems. Integration of heterogeneous IT and process landscapes. Development of web-based administration, ordering, and workflow management portals. Digitization of specialized business and administrative processes (regulated and unregulated). Technological implementation is carried out by the company’s own in-house developers (as well as product owners, Scrum Masters, etc.) and its own international development site, which is also part of the transaction. High scalability, combined with a lean German management structure, is achieved not only through the two locations but also through a network of additional international partners. In addition to this technological foundation, which constitutes the core business, three strategically relevant product areas have been successively established.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
