SERV-backed export financing: Capital increase of CHF 5 million for 50% of the shares

For qualified or professional investors only. Not a public offering. Documents subject to NDA. The banks have left a gap. This company aims to fill it. Swiss exporters need loans for their customers abroad. The federal government insures these loans through SERV. But the major banks are only interested in large, standardized deals. The last bank capable of arranging customized export loans on its own disappeared in 2023. Only one active arranger remains in Zurich. The model. A Swiss credit vehicle without a banking license arranges and grants SERV-insured export loans ranging from under CHF 1 million to CHF 30 million. Each loan is refinanced back-to-back through banking partners: same term, same currency. SERV covers 95% of the credit default risk; the refinancers receive a 100% guarantee. The company’s retention is capped at 2.5% of the portfolio. In 2024, FINMA confirmed—based on the facts available at the time—that no banking license is required for this business model. The Team. Operations are managed by a bank-independent arranger under a management contract: six senior specialists with over 100 years of experience in export finance and a presence in East Africa, Turkey, and Latin America. The team is employed by the manager, who is also a shareholder. Under the same leadership, the predecessor vehicle achieved a portfolio of over CHF 170 million across 122 transactions without incurring a net loss (management figures, unaudited). XF Infra AG commenced operations in July 2026; a closed loan book does not yet exist. The pipeline. 21 projects, with a probability-weighted value of CHF 124 million, involving well-known Swiss exporters from the mechanical engineering, textile technology, medical technology, and rolling stock sectors. The first major projects are nearing financial close. SERV covers approximately CHF 1.3 billion in export credit volume annually; the target is 10% of that amount. Costs. The company has no employees of its own and no assets. The management fee covers personnel expenses; the remaining operating costs amount to CHF 100,000–150,000 per year. The figures (management’s projected figures, unaudited). 2025 was a start-up year with no revenue and a net loss of CHF -600,000. For 2026, revenue of CHF 480,000 and a net loss of CHF -630,000 are projected. By 2031, the portfolio is expected to grow to CHF 444 million, total revenue is projected to rise from CHF 1.7 million (2027) to CHF 7.1 million (2031), and profit after taxes is expected to reach CHF 2.3 million in 2031. The projected return on equity would then be around 14%. If new business were halved, the IRR for the new shareholder would be 4–6%. The Risks. SERV coverage relates to credit default risk. The investor remains exposed to equity risk: planning risk, illiquidity, dilution, pipeline concentration, fee burdens during the start-up years, and even total loss. The transaction. Capital increase through the issuance of new shares totaling CHF 5 million in exchange for 50% of the share capital; pre-money valuation of CHF 5 million; entry at approximately 1.1x book value. Existing shares will not be sold. The model IRR for the new shareholder is 12.9% p.a. upon exit at the 2031 book value (projected value). An independent company valuation estimates the equity value at CHF 13.5–16.4 million (post-money).

Profitable Sticker Shop: 100% Organic Revenue, Potential for Posters, Mugs, and More—Over 9,300 Customers

A profitable sticker shop is for sale that generates all of its revenue without a single euro in advertising budget—solely through strong Google rankings and organic social media reach. Starting out with soccer merchandise, the shop now ranks high even for the much more frequently searched generic term “stickers.” This paves the way for a major store specializing in stickers and printed products: wall decals, funny sayings, posters, mugs, or T-shirts—you don’t have to be a soccer fan to enjoy them. Over 9,300 customers, more than 6,200 newsletter subscribers, a profit margin of around 32%, and only about 10 hours of time investment per week form a strong foundation. //// TOP FEATURES //// (1.) = 100% organic revenue – €0 advertising budget The best feature of this store is clearly its organic revenue share. Every online store owner’s dream: no paid advertising thanks to strong rankings on Google and social media. These rankings can’t be easily bought. Google has grown over the years. This ensures a high degree of stability, more predictable figures compared to paid advertising, and higher profit margins! (2.) = Revenue more than quadrupled after the acquisition Under the previous owner, the store’s revenue in 2024 was €30,000. After the acquisition in November 2024, the product lineup was revamped and organic social media marketing was implemented. In 2025, revenue rose to approximately €120,000—more than four times the previous amount (+300%). The buyer is thus taking over a business model with proven growth levers. (3.) = Perfect for newcomers due to 100% organic traffic The biggest hurdle in e-commerce is attracting customers ready to buy to the store. Here, those visitors are already in place. Paid ads are an additional growth lever, but not the primary revenue driver. This significantly reduces the risk of a revenue slump following the acquisition and makes the store particularly attractive to newcomers to the industry. The owner has not spent a single cent on paid advertising to date—everything is generated organically. (4.) = Easily scalable—next top keyword within reach For the niche’s main search term, the store already ranks organically on page 1 of Google. For the broader term, which has significantly higher search volume, it ranks at the very top of page 2, and in some cases already on page 1—alongside major corporations. With a broader product range (e.g., funny stickers, wall decals, car decals, or stickers with slogans), a solid ranking on page 1 is realistic. After that, additional printed products can be added—as PETPRINTED demonstrates with posters, doormats, keychains, or T-shirts, simply through print service providers on a made-to-order basis. //// NUMBERS //// 2024 Revenue = 29,977€ 2024 Profit = 9,662€ 2025 Revenue = 124,154 2025 Profit = 39,548€ (adjusted) 2026 (Jan. 1–Oct. 7) Revenue = €60,125 (reduced time commitment by the owner) 2026 (Jan. 1–Oct. 7) Profit = 19,606€ Profit Forecast for 2026 = +30,000 Selling price = 120,000 Inventory = excluded (approx. 10,000 in cost of goods sold) //// OTHER //// If you’re looking for a business with stable earnings that doesn’t depend on advertising budgets, you’ve found exactly what you’re looking for here: Well-established Google rankings can’t be bought—they deliver customers month after month without incurring ongoing advertising costs. Additional growth drivers: paid advertising, additional products and categories, influencers from the fan community, marketplaces, email marketing, and expansion into other countries. The store is suitable for career changers as well as entrepreneurs, investors, or existing online retailers looking to expand their portfolio. Of course, the seller will be available for a handover and training period lasting several months. All information is provided without guarantee. This listing does not constitute a legally binding offer.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
