Custom Machine Building for Industrial Metal Forming

We are exclusively representing the shareholder of a medium-sized German specialty machinery manufacturer in the sale of shares. The ownership stake has been deliberately left open: both a majority and a minority stake are possible. The company develops, designs, and builds systems for industrial metal forming. The foundation of its technology is a proprietary drive and operating principle developed over approximately 25 years of product and control system development, which enables higher precision, freely programmable motion sequences, and a compact, oil-free design compared to conventional technology. The company’s value creation lies in engineering, control technology, and commissioning. Each system is designed specifically for the project. Customers come from various industrial sectors, and as repeat customers, they regularly order follow-up machines. Following a weak year for the industry in 2025, the order situation has improved significantly: The order backlog and proposals in advanced stages are significantly above annual production capacity and extend at least through the end of 2027. The background to this is an age-related succession plan, structured simultaneously as a growth partnership: The commercial and technical management teams will remain in place regardless of this change. We are seeking a tech-savvy partner with capital and market access to facilitate scaling. Below, we present the company’s key metrics: -Revenue: 3.6–6.2 million EUR -Location: North Rhine-Westphalia -Employees: just under 20 -Adjusted EBITDA: up to 1.0 million EUR -In-house developed technology, registered trademark -Order backlog significantly higher than the previous year

A market-proven, manufacturer-independent car dealership

A market-proven, multi-brand car dealership with stable profitability, a good micro-location, and excellent macro-connectivity. Full-service car dealership with 30 years of market presence: Established over 30 years ago, this dealership is positioned as a multi-brand automotive specialist with a focus on Opel. The broad range of services includes new and used cars, an in-house master auto repair shop, a tire business, financing, vehicle rentals, and vehicle reconditioning. Strong base of regular and frequent customers: Approximately 60% of customers are repeat customers (up to the 7th year of ownership), and 700 tire storage contracts—each requiring two mandatory service visits per year—ensure predictable, recurring business volume independent of the new-car business. Countercyclical used-car purchasing as a differentiator: The company utilizes established—and, when necessary, international—sourcing channels to purchase vehicles countercyclically and with high margins. Vehicle financing is funded entirely from the company’s own cash flow—no bank debt. Future-proof infrastructure and electric mobility: Four employees with electric vehicle certification, 110 kW of charging capacity from the grid, and a 110 kW photovoltaic system position the company as a partner well-prepared for the transition to electric mobility. Flexible transition phase facilitated by the seller: The seller and managing partner is interested in a medium- to long-term transition phase—and would be happy to serve as managing director if desired.

LED Lighting and Control Electronics for Safety-Critical Markets

Structured Succession: An owner-managed, highly specialized German manufacturer of rugged LED lighting technology and control electronics is seeking a buyer for its next phase of growth. MARKET POSITION & DIFFERENTIATION Focus on safety-critical B2B applications: commercial vehicles, buses, rail transport, marine, agricultural, industrial, and emergency vehicles, as well as building technology. High technical requirements, as well as ISO and KBA accreditations, create barriers to entry. Well-known OEM customers, some of whom have been with the company for decades. VALUE CREATION FROM A SINGLE SOURCE Approximately 90% of value creation is handled in-house: engineering, PCB design, prototyping, in-house SMT manufacturing, potting technology, assembly, and testing in our own lighting laboratory. This ensures quality, speed, and customer-specific solutions from concept to series production. OPPORTUNITIES FOR BUYERS Clear growth drivers: cross-selling and new product lines with existing customers, systematic international expansion, key-account sales, and the transfer of technology to other robust applications. Attractive to strategic buyers in the lighting, electronics, industrial, and mobility sectors, as well as to investors with a platform strategy. TRANSITION The owners will remain on board for approximately three to five years and will be available in an advisory capacity thereafter, if needed.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
