SERV-backed export financing: Capital increase of CHF 5 million for 50% of the shares

For qualified or professional investors only. Not a public offering. Documents subject to NDA. The banks have left a gap. This company aims to fill it. Swiss exporters need loans for their customers abroad. The federal government insures these loans through SERV. But the major banks are only interested in large, standardized deals. The last bank capable of arranging customized export loans on its own disappeared in 2023. Only one active arranger remains in Zurich. The model. A Swiss credit vehicle without a banking license arranges and grants SERV-insured export loans ranging from under CHF 1 million to CHF 30 million. Each loan is refinanced back-to-back through banking partners: same term, same currency. SERV covers 95% of the credit default risk; the refinancers receive a 100% guarantee. The company’s retention is capped at 2.5% of the portfolio. In 2024, FINMA confirmed—based on the facts available at the time—that no banking license is required for this business model. The Team. Operations are managed by a bank-independent arranger under a management contract: six senior specialists with over 100 years of experience in export finance and a presence in East Africa, Turkey, and Latin America. The team is employed by the manager, who is also a shareholder. Under the same leadership, the predecessor vehicle achieved a portfolio of over CHF 170 million across 122 transactions without incurring a net loss (management figures, unaudited). XF Infra AG commenced operations in July 2026; a closed loan book does not yet exist. The pipeline. 21 projects, with a probability-weighted value of CHF 124 million, involving well-known Swiss exporters from the mechanical engineering, textile technology, medical technology, and rolling stock sectors. The first major projects are nearing financial close. SERV covers approximately CHF 1.3 billion in export credit volume annually; the target is 10% of that amount. Costs. The company has no employees of its own and no assets. The management fee covers personnel expenses; the remaining operating costs amount to CHF 100,000–150,000 per year. The figures (management’s projected figures, unaudited). 2025 was a start-up year with no revenue and a net loss of CHF -600,000. For 2026, revenue of CHF 480,000 and a net loss of CHF -630,000 are projected. By 2031, the portfolio is expected to grow to CHF 444 million, total revenue is projected to rise from CHF 1.7 million (2027) to CHF 7.1 million (2031), and profit after taxes is expected to reach CHF 2.3 million in 2031. The projected return on equity would then be around 14%. If new business were halved, the IRR for the new shareholder would be 4–6%. The Risks. SERV coverage relates to credit default risk. The investor remains exposed to equity risk: planning risk, illiquidity, dilution, pipeline concentration, fee burdens during the start-up years, and even total loss. The transaction. Capital increase through the issuance of new shares totaling CHF 5 million in exchange for 50% of the share capital; pre-money valuation of CHF 5 million; entry at approximately 1.1x book value. Existing shares will not be sold. The model IRR for the new shareholder is 12.9% p.a. upon exit at the 2031 book value (projected value). An independent company valuation estimates the equity value at CHF 13.5–16.4 million (post-money).

Physical therapy provider with four locations in German-speaking Switzerland

This owner-managed company has specialized in physical therapy and medical rehabilitation in German-speaking Switzerland for over ten years. At its four locations, it offers a wide range of physical therapy treatments, supplemented by medical exercise therapy and health-focused exercise programs. The holistic treatment approach enables personalized care and the continuation of training beyond the actual therapy phase. Between 2022 and 2024, the company achieved stable annual revenue of approximately CHF 1.9 million, while adjusted EBITDA increased from CHF 75,000 to CHF 218,000. The decline in revenue to CHF 1.62 million in 2025 was primarily due to the deliberate termination of a partnership with a referring physician at one location. A significant recovery was already evident in the first half of 2026. Based on the half-year figures, revenue of CHF 2.04 million is expected for 2026, with adjusted EBITDA of approximately CHF 267,000, corresponding to an EBITDA margin of 13.1%. As part of a succession plan, the entire company is up for sale. One of the two current owners will continue to work as a physical therapist at a 60% workload following the acquisition, thereby ensuring a high degree of continuity in patient care. The organizational succession plan for the second owner has already been factored into the adjusted financial figures.

Manufacturer of specialized machinery with a global monopoly

An exceptionally profitable mechanical engineering company based in Switzerland (founded in 2012) is for sale. The company is the world’s sole manufacturer of its specialty machines and thus holds a de facto monopoly. Key Figures: - Annual Revenue: approx. 1.375 million EUR - EBIT margin: approx. 90% - EBIT per year: approx. 1.168 million EUR - No employee transfer required The business model is IP-driven and includes all rights, design and manufacturing drawings, as well as technical know-how. The machines can be delivered fully assembled and are therefore immediately ready for international distribution. The buyer does not need to have its own technical expertise, which is why the company is also suitable for sales organizations, trading companies, and financial investors. The international market has not yet been fully tapped and represents the key growth driver. International expansion can begin immediately after closing. The exceptional earnings quality is based on the company’s monopoly position, the high proportion of IP, and a very lean cost structure. Operational risks are low, as there is no reliance on specific personnel. Indicative purchase price range: Negotiable at 6.5 million EUR, with additional upside for strategic buyers. The sale is planned as a short-term, structured business sale (asset deal). We will provide further information exclusively after the signing of an NDA.

An independent creative agency with a 30% EBITDA margin

An established Swiss premium agency in the field of digital corporate communications is for sale. It boasts clear market positioning, high profitability, and operational management that is completely independent of the owners. The company is positioned in the premium segment, covers the entire production cycle from concept to production, and serves a broadly diversified client base throughout Switzerland. A key competitive advantage lies in the lean production structure, which has been optimized over the years and enables profitability above the industry average. In fiscal year 2025, the company generated operating revenue of approximately CHF 1.7 million and adjusted EBITDA of approximately CHF 515,000, corresponding to a strong EBITDA margin of 30%. Based on current trends, operating revenue of approximately CHF 2.0 million and EBITDA of over CHF 700,000 are expected for 2026. The business model is extremely capital-light, free of financial debt, and features a very solid balance sheet structure with high net liquidity. The broadly diversified customer base ranges from SMEs to large national corporations and public institutions, with revenue spread across a large number of customers, resulting in a correspondingly low concentration risk. In-house AI tools are already in operational use, and the existing creative expertise provides a strong foundation for developing new AI-powered offerings without cannibalizing the profitable premium core business. Since the business is organized digitally and is location-independent, it can be scaled without significant additional investment. The owner is seeking a suitable succession plan due to a new, non-competing business venture. To ensure an orderly transition, the owner is available on a flexible basis during a training phase. The transaction offers a successor the opportunity to take over a highly profitable, scalable, and future-proof communications agency with a well-established team, a strong market position, and attractive growth options.

The digital backbone for over 300 radio stations. Profitable. Growing 100% per year.

Radio is the world’s largest medium. 3.2 billion listeners. 15,000 commercial stations. And almost none of them have a digital infrastructure worthy of the name. We provide it. Apps, websites, in-car systems, smart speakers. A dashboard for listeners, advertising, and data. The station keeps its brand. We provide the technology. It’s simple. Having its own digital team costs a station over USD 400,000 a year. We solve that for around USD 5,000. That’s not a discount. That’s a whole different league. The facts: 300+ stations in 9 countries. Profitable since 2025. No external capital to date. Ten employees across three continents. Contracted volume for 2026: approximately CHF 1 million. Customer retention: virtually 100 percent. The proof came from America. One of the leading U.S. radio groups has entrusted us with over 200 stations. A Swiss team is beating out local providers in the world’s largest radio market. The next step is Germany. The country’s network with the widest reach has signed on. Talks are underway with the second-largest. And then comes advertising. Pre-roll, video, programmatic. A 30 percent commission on every franc brokered. This business will launch in 2026 and is not included in any of the figures above. We are seeking a capital increase of CHF 1 to 2 million through new shares, representing an 11 to 17 percent stake. For sales, advertising products, and expansion. The founders will remain on board. A seat on the board of directors is possible with a sufficient stake. What we don’t promise: a unicorn. What we deliver: a profitable, growing SaaS company in a niche that no one else is occupying. A platform for a medium that everyone has written off. We haven’t.

Buying a company vs. buying a firm

Buying a company means acquiring an independent organizational unit that regularly carries out an economic activity. A company can consist of one or several business operations. An individual can also found such an independent unit if they regularly carry out an economic activity — in that case it is called a sole proprietorship. As a rule, sole proprietors don't have to register in the commercial register; without that registration, they don't legally count as a "firm." A trade name, colloquially a "firm," is the name under which a company or sole proprietor appears publicly and conducts its business. Buying "a firm" therefore technically means acquiring the company's name or trading name. In everyday use, though, it's used interchangeably with buying a company — i.e. acquiring the entire business.
