Drive Technology Company Seeks Successor
Company Description
A development and manufacturing company is for sale as part of a planned business succession. The shareholders wish to sell their entire stake. The company is seeking a buyer who will continue to develop the existing technical expertise and established customer relationships over the long term.
The company combines in-house development with the manufacturing of custom products. Its areas of focus include power electronics, electric direct drives, magnetic bearings, and test equipment for passive electrical components. The range of services extends from calculation and design through prototyping to series production. In addition, the company builds custom control cabinets and systems. The company is ISO 9001 certified and has been operated as a recognized research facility since 2001.
Business activities include both recurring series production as well as challenging individual and large-scale projects. Based on the company’s current profile, series production accounts for an average of approximately 58%, individual orders for 37.8%, and grant-funded projects for 4.2%. The multi-year duration of larger projects—and in some cases, the fact that final billing occurs only at the project’s conclusion—leads to fluctuating annual revenues and material expenses. The financial assessment must therefore take into account project statuses and sustainable profitability.
The current customer base ranges from small and medium-sized enterprises to large, internationally active corporations in the fields of automation technology, electrical engineering, semiconductor manufacturing, aerospace, and established research projects.
With 36 employees, the company has a well-established development and manufacturing structure. A key advantage for the buyer is the planned continuity in leadership: The current second managing director is expected to remain with the company for as long as possible. The current first managing director can initially support the transition by providing on-the-job training and, if necessary, continue to assist in an advisory capacity or on a part-time basis in the long term.
Preference is given to the sale of all GmbH shares, including the property used for business operations. A complete acquisition as of a specific date or a phased takeover are both possible in principle. The planned timeframe is between 2027 and 2030. The specific terms will be agreed upon with the buyer.
The existing business valuation indicates a share value of approximately €3.1 million for the company, including the real estate. The final purchase price depends in particular on the transfer date, the company’s earnings and financial position at that time, and any potential advance distributions. For qualified prospective buyers, the financial figures, project structure, and scope of the acquisition will be explained in greater detail following the signing of a confidentiality agreement. Financing of the purchase price, including a seller’s loan, may be considered provided the structure is appropriate and adequately secured.
