A term sheet is a document negotiated and signed by two parties that sets out the key terms of an investment or purchase agreement. A term sheet can be used to raise capital from investors, sell company shares to potential buyers, or establish the terms of a joint venture. It serves as the starting point for a contract that forms the basis for finalizing the entire deal.

Term sheets establish the basic terms that must be taken into account when negotiating a contract. These include price, voting rights, profit-sharing rules, and other key points. The details of a term sheet may vary depending on the type of agreement. A term sheet may also include clauses designed to ensure that both parties fulfill certain obligations.

A term sheet is not the same as a complete contract and generally still needs to be negotiated in detail. However, it provides a clear foundation for the start of the negotiation process and ensures that all relevant information is available before drafting the contract. Therefore, it is an essential prerequisite for any investment or acquisition transaction.
