The sell side refers to the side of the financial market that deals with the sale of companies or company shares. This side typically includes company owners, M&A advisors, and investment banks that support the sale process. In the context of business succession, the sell side plays a central role, as it actively seeks out potential buyers and organizes the transition to new ownership.

Sell-Side Activities

The sell side is responsible for various aspects of the sale process, including:

  • Valuation of the company: Determining the market value.

  • Preparing sales documents: Developing prospectuses and informational materials for buyers.

  • Identifying and approaching potential buyers: Selecting suitable target groups.

  • Negotiating the terms of sale: Negotiating the price and contract terms.

In contrast, the buy side deals with the acquisition of companies or shares in companies.
